Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, digital marketing services, and software platforms provided by Tesla Online Solution ("Tesla Online Solution", "we", "us", or "our"), including our proprietary CRM platform, Tesla CRM (also marketed as "GrowthSuite") (collectively, the "Services"). By accessing or using the Services, creating an account, or connecting a third-party account such as Google, you ("you", "Client", or "User") agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. Definitions

• "Services" means our digital marketing services, websites, APIs, and the Tesla CRM / GrowthSuite platform.
• "Client Data" means data you or your authorized users submit to or generate within the Services.
• "Google User Data" means data accessed from Google APIs, including the Google Business Profile API.
• "Authorized Business Owner" means the individual or entity that owns or is lawfully authorized to manage a business profile or account connected to the Services.

2. Eligibility and Accounts

• You must be at least 18 years old and capable of forming a binding contract to use the Services.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate, current, and complete information and to keep it updated.
• You must notify us promptly at support@teslaonlinesolution.com of any unauthorized use of your account or security breach.

3. Description of the Services

Tesla Online Solution provides digital marketing services (including SEO, Google Ads and Meta Ads management, WhatsApp and SMS marketing, and lead generation) and software services through Tesla CRM / GrowthSuite, including multi-location business-profile management, review management, local post automation, reporting, and related workflow automation. We may add, modify, or discontinue features from time to time.

4. Google Business Profile Integration and Client Authorization

Certain features rely on integration with the Google Business Profile API and other Google APIs. By connecting a Google account, you represent and warrant that:

• You are the Authorized Business Owner of, or have obtained all necessary rights and permissions to manage, each business profile and location you connect to the Services.
• You authorize Tesla Online Solution to access, use, store, and share Google User Data strictly to manage business profiles, reviews, and local posts on your behalf, as described in our Privacy Policy.
• You will comply with all applicable Google terms and policies, including the Google Business Profile Additional Terms of Service and the Google API Services User Data Policy.
• You are responsible for the accuracy, legality, and appropriateness of any content you instruct us to publish, including profile information, review responses, and local posts.

Our access to and use of Google User Data is limited to the practices explicitly disclosed in our Privacy Policy and adheres to the Google API Services User Data Policy, including the Limited Use requirements. You may revoke our access at any time via your Google Account settings.

5. Subscriptions, Fees, and Billing

• Certain Services are provided on a subscription or retainer basis. Fees, billing cycles, and included features are set out in your order form, proposal, or plan selection.
• Unless otherwise stated, fees are exclusive of applicable taxes, which you are responsible for paying.
• Subscriptions may renew automatically for successive periods unless cancelled in accordance with your plan terms.
• Except where required by law, fees are non-refundable. Late or failed payments may result in suspension or termination of the Services.

6. Acceptable Use

You agree not to, and not to permit any third party to:

• Use the Services in violation of any applicable law, regulation, or third-party rights, including Google, Meta, or telecom marketing regulations.
• Upload or publish content that is unlawful, false, misleading, defamatory, infringing, or that violates platform policies (including fake reviews or deceptive posts).
• Attempt to gain unauthorized access to the Services, other accounts, or our systems, or interfere with their security or integrity.
• Reverse engineer, decompile, copy, resell, or create derivative works of the Services except as permitted by law.
• Use the Services to transmit malware, spam, or unsolicited communications in violation of applicable law or consent requirements.

We may suspend or terminate access for conduct that we reasonably believe violates these Terms or exposes us or others to liability.

7. Client Responsibilities

• You are responsible for obtaining and maintaining all consents required to run marketing campaigns, including consent for SMS and WhatsApp messaging to your contacts.
• You are responsible for the accuracy and lawfulness of all Client Data and instructions you provide.
• You will maintain your own third-party accounts (Google, Meta, payment gateways, messaging providers) in good standing.

8. Intellectual Property

The Services, including the Tesla CRM / GrowthSuite software, and all related intellectual property, are and remain the exclusive property of Tesla Online Solution and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services during your subscription term for your internal business purposes. You retain all rights in your Client Data and grant us a limited license to process it solely to provide the Services.

9. Third-Party Services

The Services interoperate with third-party platforms and APIs. We are not responsible for third-party services, their availability, or changes to their terms or functionality. Your use of third-party services is subject to their respective terms and policies.

10. Data Protection and Privacy

Our collection and use of personal information and Google User Data is described in our Privacy Policy. When we process Client Data or Google User Data on your behalf, we do so as your service provider / processor, in accordance with your instructions and applicable law.

11. Service Availability

We strive to keep the Services available and reliable but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or factors beyond our reasonable control, including third-party API outages.

12. Disclaimers

Except as expressly stated, the Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant any specific marketing results, rankings, lead volumes, or business outcomes.

13. Limitation of Liability

To the maximum extent permitted by law, Tesla Online Solution and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to the Services. Our total aggregate liability for any claim relating to the Services will not exceed the amount you paid to us for the Services during the three (3) months preceding the event giving rise to the claim.

14. Indemnification

You agree to indemnify and hold harmless Tesla Online Solution from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your Client Data, your content and instructions, your use of the Services, or your violation of these Terms, applicable law, or third-party rights.

15. Suspension and Termination

• You may terminate your use of the Services in accordance with your plan terms.
• We may suspend or terminate the Services, in whole or in part, if you breach these Terms, fail to pay fees, or use the Services in a manner that creates legal or security risk.
• Upon termination, your license to use the Services ends, and we will handle Client Data and Google User Data in accordance with our Privacy Policy and applicable law.

16. Changes to These Terms

We may modify these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts located in Thane, Maharashtra, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
